Terms of Service

These Terms of Service ("Terms") govern your access to and use of the websites, products, and services provided by DMS LOGISTICS SOFTWARE (HOLDINGS) LIMITED ("DMS Logistics", "we", "us", "our"). By accessing or using the Services, you agree to be bound by these Terms.

1. Eligibility & Accounts

You must have authority to accept these Terms on behalf of yourself or your organization. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.

2. Subscriptions, Renewals & Cancellation

Access to certain features may require a paid subscription. Unless otherwise stated, subscriptions renew automatically at the end of each term until cancelled. You may cancel at any time, and your access will continue until the end of the thencurrent billing period. Fees are exclusive of taxes. We may adjust pricing or packaging upon notice.

3. Acceptable Use

• No unlawful, infringing, or harmful activities.
• No reverse engineering, unauthorized access, or interference with the Services.
• No sending of spam or unauthorized messages; comply with carrier and CTIA guidelines for SMS.

4. Customer Data & Privacy

You retain ownership of Customer Data. You grant DMS Logistics a license to process Customer Data to provide and improve the Services. Our use of personal data is described in our Privacy Policy.

5. ThirdParty Services

The Services may interoperate with thirdparty products (e.g., analytics, communications, carrier rate providers). Use of those services is subject to their respective terms and policies.

6. Intellectual Property

We and our licensors retain all rights, title, and interest in and to the Services, including software, documentation, designs, and trademarks. You may not use our marks without prior written consent.

7. Confidentiality

Each party agrees to protect the others confidential information and use it only to perform under these Terms.

8. Beta Features

We may offer beta or prerelease features. Such features are provided "as is" and may change or be discontinued.

9. Warranties & Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. We do not warrant that the Services will be uninterrupted, secure, or errorfree.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DMS LOGISTICS AND ITS AFFILIATES SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY FOR ANY CLAIMS SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO US FOR THE SERVICES IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.

11. Indemnity

You agree to defend, indemnify, and hold harmless DMS Logistics from any claims, damages, liabilities, and expenses arising from your use of the Services or breach of these Terms.

12. Suspension & Termination

We may suspend or terminate access for violations of these Terms, legal requirements, or to address security risks. Upon termination, your right to access the Services ceases.

13. Export, Sanctions & AntiCorruption

You represent that you are not subject to sanctions and will comply with all applicable export control and anticorruption laws in connection with your use of the Services.

14. SMS Program Terms

By opting in to SMS notifications, you consent to receive recurring transactional SMS messages from DMS LOGISTICS SOFTWARE (HOLDINGS) LIMITED regarding your account activity within the DMS Logistics platform. These notifications include:

• Sourcing alerts: RFQ responses, supplier vetting updates, quote comparisons, scorecard evaluations
• Procurement alerts: PO approval requests, 3-way match discrepancies, budget threshold notifications, vendor performance alerts
• Logistics alerts: Freight booking confirmations, shipment tracking updates, customs clearance status, exception notifications

Message frequency varies based on your account activity and active workflows. All messages are transactional and event-driven; we do not send marketing or promotional SMS. Message & data rates may apply. Reply STOP to cancel; HELP for help. Carriers are not liable for delayed or undelivered messages. Consent is not a condition of purchase or use of the platform.

15. Governing Law & Venue

These Terms are governed by the laws of England and Wales, without regard to conflicts of law principles. The courts of England and Wales shall have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Services.

16. Changes to Terms

We may update these Terms from time to time. Continued use of the Services after changes become effective constitutes acceptance of the updated Terms.
